Terms of Service

1.

Acceptance of Terms

These Terms of Service govern your access to and use of trade.webdance.com.au (the "Trade Desk") and any hardware procurement, supply, or acquisition transaction entered into with Web Dance Pty. Ltd (ABN 50 666 082 079) ("Web Dance", "we", "us", "our"). By submitting a Request for Quotation ("RFQ"), placing an order, or otherwise engaging our hardware trade services, you accept these Terms in full. If you do not accept these Terms, you must not use the Trade Desk.

2.

Scope of Operations

The Trade Desk facilitates business-to-business ("B2B") supply, sale, import, export, and acquisition of information technology hardware, including but not limited to servers, graphics processing units, computing components, displays, peripherals, and associated infrastructure ("Hardware"). These Terms apply solely to hardware trade activity conducted through trade.webdance.com.au and do not extend to other services, software, consulting, or platforms operated by Web Dance under separate terms.

3.

Business Customers Only

The Trade Desk is intended exclusively for businesses, corporations, government institutions, resellers, and other commercial entities acting in the course of their trade. By transacting with us you warrant that you are acquiring Hardware for business purposes and not as a consumer. To the maximum extent permitted by law, provisions of consumer protection legislation that may be excluded, restricted, or modified in business-to-business dealings are excluded, restricted, or modified accordingly.

4.

Quotations & Orders

All pricing, stock indications, and specifications provided through RFQ responses, catalogues, or correspondence are invitations to treat and do not constitute a binding offer. A binding contract is formed only upon our written acceptance of your order and our issue of a corresponding invoice. Quotations are valid for the period stated on the quotation or, where no period is stated, for seven (7) days, and remain subject to stock availability and prevailing market conditions at the time of acceptance.

5.

Pricing & Availability

Hardware pricing is subject to fluctuation in global component markets, currency exchange rates, freight costs, and supplier allocation. We reserve the right to adjust pricing prior to order acceptance and to decline or cancel any order where pricing has been affected by manifest error, supplier withdrawal, or circumstances beyond our reasonable control. Stock figures are indicative only and do not guarantee availability.

6.

Delivery, Title & Risk

Delivery timeframes are estimates provided in good faith and are not guaranteed. We are not liable for delays arising from customs, freight carriers, supplier lead times, or other logistics factors outside our direct control. Risk in Hardware passes to you upon delivery to your nominated address or carrier. Title in Hardware does not pass to you until we have received full cleared payment of all sums owing.

7.

Warranties

Hardware is supplied with the benefit of the applicable manufacturer's warranty only, where such warranty exists and is transferable. Web Dance does not itself manufacture Hardware and, to the maximum extent permitted by law, gives no additional warranty as to merchantability, fitness for a particular purpose, or performance beyond the manufacturer's stated terms. Warranty claims are to be directed to and administered by the relevant manufacturer in accordance with their processes.

8.

Limitation of Liability

To the maximum extent permitted by law, our total aggregate liability arising out of or in connection with any transaction is limited to the amount actually paid by you for the specific Hardware giving rise to the claim. We are not liable for any indirect, incidental, consequential, or special loss, including loss of profit, revenue, data, business, or anticipated savings, howsoever arising.

9.

Asset Recovery & Acquisitions

Where we acquire, buy out, or facilitate liquidation of Hardware asset pools, such transactions are subject to independent evaluation, inspection, and separately agreed written terms. Acquisition operations apply to qualifying enterprise-scale asset infrastructure and are offered at our sole discretion. Valuations are indicative until confirmed in writing following inspection.

10.

Governing Law

These Terms are governed by the laws of New South Wales, Australia. You submit to the exclusive jurisdiction of the courts of New South Wales and the Commonwealth of Australia. We may amend these Terms at any time by publishing an updated version on the Trade Desk, with the version in effect at the time of order acceptance applying to that transaction.

General Terms & Conditions

1.

Account & Eligibility

To transact you may be required to provide accurate business identification, including company name, registered business number, deployment jurisdiction, and authorised contact details. You are responsible for the accuracy of the information you provide and for ensuring the individual submitting an RFQ is authorised to bind your organisation.

2.

Acceptable Use

You must not use the Trade Desk to submit fraudulent, misleading, or unlawful requests; to circumvent export controls or sanctions; to procure Hardware for prohibited end-uses; or in any manner that interferes with the operation or security of our systems. We reserve the right to refuse service, suspend access, or decline any transaction at our sole discretion.

3.

Export, Customs & Compliance

Hardware may be subject to export controls, customs regulations, and international trade restrictions. You are responsible for ensuring your acquisition and intended use comply with all applicable laws in the origin, transit, and destination jurisdictions. You warrant that you are not a sanctioned party and will not re-export Hardware in breach of applicable trade controls.

4.

Chain of Custody

We apply verification procedures to Hardware sourcing and logistics. While we take reasonable steps to confirm authenticity and provenance, indicative chain-of-custody records are provided for operational reference and do not constitute a warranty beyond the terms expressly stated in these policies.

5.

Intellectual Property

All content on the Trade Desk, including text, graphics, logos, layout, and branding, is the property of Web Dance Pty. Ltd or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, or exploit any part of the Trade Desk without our prior written consent.

6.

Force Majeure

We are not liable for any failure or delay in performance arising from events beyond our reasonable control, including but not limited to supply chain disruption, component shortages, freight and customs delays, natural events, industrial action, government action, or failures of third-party suppliers.

7.

Confidentiality

Pricing, allocation terms, sourcing channels, and commercial arrangements disclosed to you are confidential and provided solely for the purpose of the relevant transaction. You must not disclose such information to third parties without our prior written consent.

8.

Severability & Waiver

If any provision of these policies is found to be invalid or unenforceable, the remaining provisions continue in full force. Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

Payment, Returns & Refund Policy

1.

Payment Terms

Unless otherwise agreed in writing, invoices are payable in full prior to dispatch or in accordance with the terms stated on the applicable invoice. We accept payment via approved electronic funds transfer and other methods specified at the point of invoice. All prices are quoted exclusive of GST unless stated otherwise, with GST applied where applicable.

2.

Currency & Fees

Payments are processed in Australian Dollars (AUD) unless otherwise agreed. You are responsible for any bank charges, currency conversion costs, or third-party transaction fees associated with your payment. Cleared funds must be received before title passes or Hardware is released for dispatch.

3.

Late Payment

Overdue amounts may accrue interest at a commercially reasonable rate and may result in suspension of pending orders. You remain responsible for reasonable costs incurred by us in recovering overdue amounts.

Returns & Refunds on Hardware

Every Hardware order is sourced, allocated, and configured specifically for your deployment requirements. Because units are committed against dedicated supply channels and provisioned to your specification, all Hardware sales are considered final upon dispatch, and payments made for Hardware are non-refundable.

We are, of course, wholeheartedly committed to your satisfaction. Where a unit arrives with a verified manufacturing defect, your remedy is governed by the applicable manufacturer's warranty, which we will gladly help facilitate on your behalf. Our priority is always to see your deployment succeed, whether through warranty replacement, repair, or an equivalent unit where available.

Returns of correctly supplied, non-defective Hardware are not accepted, as allocated stock cannot be returned to our supply channels once committed. Should you ever have a concern, we warmly encourage you to reach out so our trade team can work with you toward the best available outcome.

4.

Order Cancellation

As Hardware is allocated against committed supply channels upon order acceptance, orders cannot be cancelled once accepted and processed. Any request to amend an order prior to allocation is considered at our discretion and may be subject to price and availability at the time of amendment.

5.

Statutory Rights

Nothing in this policy excludes, restricts, or modifies any right or remedy that cannot lawfully be excluded, restricted, or modified. Where legislation implies a guarantee that cannot be excluded and permits limitation, our liability for breach of that guarantee is limited, at our option, to replacement or supply of equivalent Hardware, or the cost of such replacement or supply, to the extent permitted by law.

6.

Damaged or Incorrect Shipments

Claims relating to Hardware damaged in transit or supplied incorrectly must be notified to us in writing within three (3) business days of delivery, accompanied by supporting evidence. Verified transit damage or supply errors will be resolved by replacement or equivalent remedy at our discretion. Hardware must not be discarded, altered, or installed prior to inspection.

Privacy Policy

1.

Overview

This Privacy Policy explains how Web Dance Pty. Ltd (ABN 50 666 082 079) collects, uses, discloses, and protects personal information in connection with the hardware trade operations conducted through trade.webdance.com.au. We handle personal information in accordance with the Privacy Act 1988 (Cth) and the Australian Privacy Principles.

2.

Information We Collect

We collect information you provide when submitting an RFQ or transacting with us, including contact name, corporate email, telephone number, company or agency name, and deployment jurisdiction. We may also collect commercial details relating to your procurement requirements and technical specifications you disclose to us. We do not intentionally collect sensitive information through the Trade Desk.

3.

How We Use Information

We use personal information to respond to RFQs, prepare quotations, process and fulfil orders, arrange logistics and customs clearance, provide support, maintain business records, and comply with legal obligations. We may use business contact details to communicate regarding your transactions and, where permitted, relevant trade updates.

4.

Disclosure

We may disclose personal information to suppliers, freight and logistics providers, customs agents, payment processors, and professional advisers to the extent necessary to fulfil your transaction. We may also disclose information where required by law. We do not sell personal information to third parties.

5.

Third-Party Processing

RFQ submissions on the Trade Desk are processed through third-party form and verification services. Information submitted through these forms is handled subject to the respective provider's terms and privacy practices, in addition to this Policy.

6.

Data Security & Retention

We take reasonable steps to protect personal information from misuse, loss, unauthorised access, modification, and disclosure. We retain personal information for as long as necessary to fulfil the purposes described in this Policy and to meet legal, accounting, and record-keeping requirements.

7.

Overseas Disclosure

Given the global nature of hardware supply, personal information may be disclosed to or accessed by recipients located outside Australia, including suppliers and logistics partners in the transaction chain. We take reasonable steps to ensure such recipients handle information consistently with applicable privacy obligations.

8.

Access & Correction

You may request access to, or correction of, the personal information we hold about you by contacting us. We will respond within a reasonable period and in accordance with the Australian Privacy Principles. Where we decline a request, we will provide reasons where required by law.

9.

Cookies & Analytics

The Trade Desk may use cookies and similar technologies to support functionality, security, and performance analysis. You can manage cookie preferences through your browser settings, though disabling cookies may affect certain features.

10.

Contact & Complaints

For privacy enquiries, access requests, or complaints regarding how we handle personal information, you may contact us through the Trade Desk. If you are not satisfied with our response, you may refer your complaint to the Office of the Australian Information Commissioner.

By submitting an RFQ or transacting through trade.webdance.com.au you acknowledge that you have read, understood, and agreed to these Trade Network Directives in full.
